Terms of Service
These terms set out what the service does, what it deliberately does not do, and which judgements remain yours. The sections on reliance and on the limits of the service are the ones that matter most, so they are not buried.
The agreement
These terms form an agreement between the business that holds the subscription and the provider of the BudgetGaga budgeting and expense management service. By creating an account, connecting a financial account or using the service in any way, the subscribing business accepts these terms, and the person doing so confirms they are authorised to accept them on that business's behalf.
The service is supplied for business use. It is not offered for personal or household budgeting, and it is not available to anyone under eighteen.
What the service does
The service is licensed to you as a subscription to do the following.
- Retrieve transaction data from financial accounts you connect, in read-only mode, through the consent mechanism your institution provides.
- Assign those transactions to spending categories you define, automatically, with a confidence indication and the ability for you to override any assignment.
- Track committed spend against the limit you set for each category and report under-budget, near-limit and overspent states as they change.
- Project where a category is likely to close based on spend velocity and known commitments, and raise flags when a limit is reached or projected to be breached.
- Identify under-spent categories capable of absorbing an overage and present a reallocation proposal for a person to decide on.
- Route spend and reallocation approval requests according to the rules you configure, record the decisions, and produce reporting and exports from the tracked data.
What the service does not do
These limits are part of the product's design and are not configurable on any plan.
- It does not move money. The service cannot initiate a transfer, release a payment, create or amend a payee, or alter a record held by your bank or card issuer. It holds no payment credentials and its account access carries no payment scope.
- It does not approve its own suggestions. A reallocation proposal takes effect only when an authorised user approves it. There is no auto-approval, and silence is never treated as consent.
- Approving a reallocation changes a budget limit only. It adjusts figures held within the service and has no effect on any bank account, invoice, payment or contractual obligation.
- It is not an accounting, audit or tax service. It does not maintain your books of account, file returns, or produce statutory financial statements, and its categories are budget categories rather than a chart of accounts.
- It does not provide financial, investment or legal advice. Flags, projections and reallocation suggestions are informational outputs of arithmetic on your own data, not professional advice or a recommendation to take any particular action.
Accounts, roles and access
You are responsible for the users you create, the roles you assign them and the approval authority those roles carry. Credentials are personal to each user and must not be shared. You must tell us promptly if you believe an account has been compromised.
Actions taken by a user with valid credentials, including approvals of reallocation and spend requests, are treated as actions of the subscribing business. Where you configure a single approver for a category, you accept that decisions on that category will be made by that person alone.
Account connections
You must have authority to connect each financial account you link, and you are responsible for complying with the terms your bank or card issuer imposes on third-party access. Connections may be revoked by you at any time, and may also be interrupted by your institution, by a change to its access arrangements, or by a withdrawal of consent on its side.
While a connection is interrupted, the service cannot track spend on that account and figures dependent on it will be incomplete. We will surface such interruptions, but keeping connections live is something only you can authorise.
Where an institution is not supported for live connection, transaction data can be imported instead. Imported data is used on the same basis, and its accuracy depends on what is imported.
Reliance on figures and forecasts
Tracked figures are derived from transaction data supplied by your financial institutions and from your own configuration. Where that source data is delayed, incomplete, duplicated or restated by the institution, the figures shown will reflect that. Categorization is automated and, although you can override any assignment, some assignments will be wrong before you correct them.
Projections are arithmetic on spend already incurred plus commitments already known. They cannot account for decisions you have not yet made or events the service has no visibility of, and they are not a prediction of outcome. Any illustrative estimate presented on the website is based solely on figures entered there and is not an analysis of your accounts.
You remain responsible for your spending decisions, your budget limits and your financial controls. The service is a tool for seeing your position earlier, not a substitute for your own judgement or for professional advice.
Acceptable use
- Do not connect accounts you are not authorised to connect, or use the service to monitor another party's finances without their authority.
- Do not attempt to access data belonging to another subscription, probe or circumvent access controls, or test the service's security without our written agreement.
- Do not reverse engineer, resell, sublicense or white-label the service, or use it to build a competing product.
- Do not use automated means to extract data at a scale or rate that degrades the service for others, and do not bypass plan limits.
- Do not use the service for any unlawful purpose, including to disguise or misrepresent the nature of expenditure.
Subscription, billing and changes
Subscriptions are billed in advance for each period on the plan you select. Plan scope is defined by the number of budgets, connected accounts, categories and users it permits, and exceeding that scope requires a plan change.
You may move between plans at any time. Changes take effect from the start of the next billing period so that a budget cycle is never split across two plans. Cancellation stops billing at the end of the current period; the service remains available until that period ends, and your data remains exportable for ninety days afterwards.
Fees are exclusive of applicable taxes, which are added where required. If a payment fails we will tell you and allow a reasonable period to resolve it before access is restricted.
Your data and ours
Your transaction data, category structure, limits, figures and reports remain yours. You grant us only the rights needed to operate the service for you: to store, process and display that data, to produce the derived figures and reporting the service exists to produce, and to make backups.
The service itself, including its interface, categorization logic, forecasting methods and documentation, remains ours. Nothing in these terms transfers ownership of it, and no right is granted to copy or reuse it beyond the use the subscription permits.
Feedback you send us may be used to improve the service without obligation to you, but it will never be treated as permission to use your financial data beyond what the privacy policy allows.
Availability and support
We aim to keep the service available continuously and will give notice of planned maintenance where practicable. Availability can nevertheless be affected by factors outside our control, including outages at a financial institution or an account aggregation provider, which can delay transaction retrieval without the rest of the service being affected.
Support is provided through the contact routes published on the website. Response expectations differ for blocking issues, non-blocking issues and security reports, and are stated there rather than here so they stay current.
Liability
The service is provided on the basis described in these terms. To the extent permitted by law, we exclude implied warranties that the service will be uninterrupted, error-free, or that automated categorization and projections will be accurate in every instance.
We are not liable for losses arising from spending decisions you take, budget limits you set or approve, delays or inaccuracies in data supplied by a financial institution, interruption of an account connection, or your failure to act on a flag the service raised. Nor are we liable for indirect or consequential loss, including lost profit or lost opportunity.
Where liability cannot lawfully be excluded, our total liability in connection with the service is limited to the subscription fees paid for the twelve months preceding the event giving rise to the claim. Nothing here limits liability for fraud or for anything that cannot be limited by law.
Suspension and termination
You may terminate at any time by cancelling the subscription. We may suspend or terminate access where fees remain unpaid after notice, where the acceptable use section is breached, where continued provision would place us in breach of law, or where account activity presents a security risk to the service or to other customers.
Where we suspend an account for a reason capable of being remedied, we will say what the reason is and give a reasonable opportunity to remedy it. On termination, the export window described in the privacy policy applies.
Governing law
These terms are governed by the laws of India. The courts at the seat of our registered office have exclusive jurisdiction over any dispute arising from them. If a provision is found unenforceable, the remainder continues in force and the unenforceable provision is read down to the extent needed to make it valid.
Revisions to these terms
We may revise these terms as the service develops. Where a revision materially affects your rights or the scope of what the service does, account holders will be notified through the service or by mail before it takes effect. Continued use after that point constitutes acceptance. Revisions are not applied retrospectively to a billing period already paid for.
